Terms of Service

These Terms of Service ("Terms") govern your use of SleekPass, a Shopify application operated by Itod Inc. ("we", "our", "us"). By installing or using SleekPass, you agree to these Terms.

1. Service Description

SleekPass enables Shopify merchants to create branded loyalty passes for Apple Wallet and Google Wallet. The service includes pass generation, QR code scanning at point of sale, customer enrollment pages, and related analytics.

2. Eligibility

You must have an active Shopify store to use SleekPass. You must be authorized to act on behalf of the business that owns the Shopify store.

3. Account and Access

SleekPass authenticates through Shopify's OAuth system. We do not create separate user accounts. Your access is tied to your Shopify store and permissions.

4. Acceptable Use

You agree not to:

• Use SleekPass for any unlawful purpose
• Attempt to reverse-engineer, decompile, or extract the source code of the application
• Interfere with or disrupt the service or its infrastructure
• Use the service to distribute malware, spam, or misleading content via wallet passes
• Exceed reasonable usage limits that would degrade service for other merchants

5. Merchant Responsibilities

As a merchant using SleekPass, you are responsible for:

• Ensuring you have the right to use any logos, images, or branding you upload to customize your passes
• Complying with Apple's and Google's terms for wallet passes distributed to your customers
• Obtaining any necessary consent from your customers before generating wallet passes on their behalf
• The accuracy of information displayed on your loyalty passes

6. Billing and Payments

SleekPass is billed through Shopify's billing system. By approving the charge in your Shopify admin, you authorize Shopify to charge the subscription fee to your Shopify account. Pricing, trial periods, and billing cycles are as displayed at the time of installation. We may change pricing with 30 days' notice.

7. Data and Privacy

Our collection, use, and storage of data is described in our Privacy Policy. By using SleekPass, you agree to our data practices as described in that policy.

8. Intellectual Property

SleekPass and its original content, features, and functionality are owned by Itod Inc. and are protected by applicable intellectual property laws. You retain ownership of your branding, logos, and content that you upload to the service.

9. Third-Party Services

SleekPass integrates with Apple Wallet (via PassKit) and Google Wallet. Your use of wallet passes is also subject to Apple's and Google's respective terms of service. We are not responsible for changes to these third-party platforms that may affect pass functionality.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or changes that temporarily affect availability. We will make reasonable efforts to notify merchants of planned downtime.

11. Limitation of Liability

To the maximum extent permitted by law, Itod Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of SleekPass.

Our total liability for any claim arising from these Terms or your use of the service shall not exceed the amount you paid for SleekPass in the 12 months preceding the claim.

12. Disclaimer of Warranties

SleekPass is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Termination

You may stop using SleekPass at any time by uninstalling the app from your Shopify store. We may suspend or terminate your access if you violate these Terms or if required by law. Upon uninstallation, your data is handled as described in our Privacy Policy.

14. Changes to Terms

We may update these Terms from time to time. The "Last updated" date at the top indicates when the Terms were last revised. Continued use of SleekPass after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
